Corporate & M&A Advisory

“Strategic legal counsel for transactions that shape Nepal’s corporate future.”

At Wisdom Law Associates, we believe in building lasting partnerships with our clients by delivering legal advice that aligns with their organizational culture, commercial priorities, and risk profiles. Our corporate and M&A practice is rooted in a deep understanding of Nepal’s regulatory environment, sector‑specific dynamics, and the strategic goals of our clients.

Complex transactions often involve multiple regulatory checkpoints. Our approach integrates legal precision with industry insight, working closely with domain experts and consultants to structure deals effectively, anticipate regulatory challenges, and ensure seamless execution.

Our senior lawyers bring extensive experience in transactions across regulated sectors, listed companies, and cross‑border joint ventures. This depth of knowledge enables us to offer commercially sound advice while navigating sensitive regulatory issues and contentious matters when they arise.

What sets us apart is our collaborative ethos: every client benefits from the collective expertise of our firm, not just that of an individual lawyer.

Nepal’s Corporate Landscape

Nepal’s corporate environment is evolving rapidly. Foreign direct investment is increasing, particularly in hydropower, infrastructure, banking, and telecommunications. The Companies Act 2063, the Foreign Investment and Technology Transfer Act 2075, the Securities Act, 2063, and frameworks administered by regulators such as the Nepal Rastra Bank and the Securities Board of Nepal together create a demanding but navigable legal architecture for corporate transactions.

Mergers, acquisitions, joint ventures, and restructurings require counsel who can combine technical command of this architecture with the transactional experience to execute efficiently. Foreign investors who underestimate Nepal’s approval processes, spanning the Department of Industry, Nepal Rastra Bank, Competition Promotion and Market Protection Office, and sector regulators, risk delays, added costs, and failed closings. Domestic businesses face similar risks if transactions are not rigorously structured.

At Wisdom Law Associates, we operate on the principle that the quality of legal structuring at the outset determines the quality of the outcome at every stage.

Mergers & Acquisitions

We advise acquirers and targets across the full M&A cycle:

  • Buy‑side: Transaction structuring, legal due diligence, risk assessment, negotiation and drafting of share/asset purchase agreements, regulatory approvals, and closing management.
  • Sell‑side: Transaction preparation, vendor due diligence, negotiation of terms, representations and warranties, and tax/regulatory implications of disposal.

For transactions in regulated sectors, banking, insurance, telecom, hydropower, we provide sector‑specific regulatory guidance, ensuring approval processes are anticipated and integrated into deal structuring.

Joint Ventures & Strategic Partnerships

Joint ventures are a common entry point for foreign investors in Nepal, but also one of the most legally sensitive structures. The initial negotiation, equity allocation, governance rights, management responsibilities, and economic entitlements, sets the foundation for decades.

We advise both foreign and domestic parties on:

  • Structuring joint ventures to balance control and economic interests.
  • Drafting shareholder agreements that anticipate future challenges.
  • Navigating regulatory approvals and compliance obligations.

Getting these terms right at the outset is far less costly than renegotiating or litigating them later.
